D.V. KAPILA & CO. was established in April 1942 by Mr. D.V. Kapila, the late father of the present two partners. Both the partners Omesh Kapila and Dinesh Kapila are Kenya citizens. They have been in practice as advocates of the High Court of Kenya since 1968 and 1979 respectively. We have two associates and a support staff of 10. We operate from our offices off Westlands Road, next to the African Union entrance – a white one story building - where we provide all the facilities essential for a modern lawyers’ office including latest information technology, up to date law library, large conference room, fire proof strong room etc.

The firm provides comprehensive legal services to its clients some of whom have been with us for over 40 years. Whether large or small clients we endeavour to provide them a service which is thorough, mindful of costs involved and has an understanding of the commercial considerations at stake. We see our role as more than just legal technicians. We believe in helping our clients’ businesses to grow through working closely with them, locating opportunities for their benefit and not by confining ourselves to telephone conversations and correspondence but holding regular think tank situation meetings. We pride ourselves in being lean but substantial and intense – similar to a specialized department in a large international legal firm. Because we are a medium sized firm we are able to give personalized service to all our clients.

The firm specializes in the practice of commercial, corporate and conveyancing law. We handle matters pertaining to the preparation of security documents including Charges, Mortgages, Debentures and Loan Agreements; we also handle Transfers of properties, Leases, Tenancy Agreements, Commercial Contracts, Management Contracts, Trust Deeds, Wills, Powers of Attorney and related documents; Consortium Lending Agreements and Joint Venture Agreements involving both local and international parties and local and international finance, as well as matters pertaining to mergers, restructuring, due diligence, acquisitions, commercialization, privatization, company incorporation, Shares Sale and Purchase Agreements, Shareholders Agreements, Novation Agreements, Management Agreements, matters to do with insolvency, receiverships, winding up arrangements, intellectual property rights including trademarks, copyrights and related matters, commercial litigation and arbitration. We also advise on issues regarding Capital Markets Authority and the rules of the Nairobi Stock Exchange. Our clients consist of private and public companies, international agencies, non governmental organizations, financial Institutions in Kenya and abroad. Our practice covers various sectors including banking and finance, tourism and hotels, agriculture and farm products, horticulture and floriculture, real estate and manufacturing; transport, petroleum, aviation and ports, telecommunication, information technology and call centres.

Has handled several substantial civil litigation and non-litigation commercial law matters including restructuring, commercialization, company incorporations, mergers and acquisitions, receiverships and winding ups. Has also been involved in carrying out due diligence exercise, drawing up securities, preparing agreements and drafting settlements and generally all related issues to do with commercial, corporate and conveyancing law. Has acted as an Arbitrator in several commercial disputes, including as a sole arbitrator appointed by the Chief Justice to mediate in a rail disaster dispute. Has been a Commissioner of Assize, vested with jurisdiction similar to that of a Judge of the High Court of Kenya, which entailed doing extensive research into law and writing awards, rulings and judgments. Is involved in advising clients on various matters touching on the tourism, security, hospitality, agriculture and manufacturing sectors of the economy. Has been a convenor and member of several committees of the Law Society of Kenya including the Remuneration Committee and has also served as the Chief Scrutineer in the Society’s elections. Was a moderator of professional examinations appointed by the Council of Legal Education of Kenya.

Has been involved in handling substantial commercial, corporate and conveyancing law matters relating to several private and public companies, including transactions to do with real estates, hotels, commercial enterprises and farms as well as mergers and acquisitions including through company formations, due diligence, sale and purchase agreements, transfers, management agreements, joint venture agreements, security documents and various matters related to the banking and investment sectors, airlines, ports and hotels sector and property and agricultural sector and telecommunications sectors as well as advising on or amending or drafting various important legislations including to do with state corporations, ports authority, grain corporation, telecommunications etc and also as an active member of the Kenyan Attorney General’s Task Force was appointed with the responsibility of revising and updating laws relating to companies, partnerships, investments and insolvency. Has also served on committees of the Nairobi Stock Exchange. Has been in the past actively involved in overall privatization strategy in Kenya as a member of the Parastatal Reform Programme Committee of the Government established to guide privatization and has perused several legal and financial documents and advised on them. Also as a board member of the national airline has assisted with its restructuring, commercialization and eventual privatization and has received World Bank Group’s Award of Excellence for his contribution to its success.
